Braintific LLC – Legal & Participation Policies

These policies govern the use of Braintific™, LLC’s website, educational programs, consulting services, certifications, and digital learning platforms. They are designed to align with New York State and New York City best practices for professional education, consulting services, consumer transparency, and contract enforceability.

1. Business Services Terms & Conditions

1.1 Scope of Services

Braintific™, LLC (“Braintific,” “we,” “us”) provides professional education, training, consulting, executive education, digital programs, workshops, and certification-based learning related to dementia, brain health, caregiving, workforce development, and organizational capacity-building.

All services are educational and consultative only. They do not constitute medical advice, diagnosis, treatment, legal advice, or clinical services.

1.2 Eligibility and Authority

Clients and participants must be at least 18 years of age. Organizational clients represent that they have authority to bind their organization to these terms.

1.3 Intellectual Property Rights

All materials, curricula, methodologies, assessments, frameworks, slide decks, recordings, videos, workbooks, certifications, trademarks, and branded content are the exclusive intellectual property of Braintific™, LLC and are protected under U.S. and New York intellectual property laws.

No license or ownership is transferred. Materials may not be copied, shared, recorded, distributed, sublicensed, resold, or reused without express written permission.

1.4 Limitation of Liability

To the fullest extent permitted under New York law, Braintific™, LLC shall not be liable for indirect, incidental, consequential, or business-related damages arising from participation in or reliance upon services or materials.

2. Non-Refundable Services & Payment Policy

2.1 Non-Refundable Nature of Services

Due to the professional, digital, and intellectual nature of services provided, all payments to Braintific™, LLC are final and non-refundable.

This includes, without limitation:

Consulting fees and retainers
Training programs and workshops
Digital courses and LMS access
Certification programs
Deposits and partial payments
Customized or organization-specific materials

Once preparation, scheduling, content access, or delivery has begun, no refunds, credits, or chargebacks will be granted.

2.2 Payment Terms

Unless otherwise stated in writing:

Full payment is required prior to service delivery
Failure to remit payment may result in suspension or termination of services

2.3 Cancellations and Rescheduling

Client-initiated cancellations do not entitle the client to a refund. Rescheduling is permitted only at Braintific™, LLC’s discretion and may incur additional fees.

3. Educational Program & Consulting Terms of Agreement

3.1 No Guaranteed Outcomes

Braintific™, LLC does not guarantee specific results, certifications, business outcomes, funding success, workforce performance improvements, or compliance outcomes. Results depend on participant engagement and organizational implementation.

3.2 Client and Participant Responsibilities

Clients and participants agree to:

Engage professionally and respectfully
Attend required sessions
Complete assigned coursework or assessments
Refrain from misuse or redistribution of materials

3.3 Confidentiality

Braintific™, LLC agrees to maintain reasonable confidentiality of client information. Clients agree not to disclose proprietary program materials or confidential discussions.

4. Late Arrival & Attendance Policy

4.1 Live Trainings and Workshops

Participants are expected to arrive on time. Late arrival may result in:

Denial of entry
Missed content not repeated
Ineligibility for certification

4.2 Consulting Sessions

Sessions begin and end at scheduled times. Late arrival does not extend session length. Missed time is forfeited and non-refundable.

4.3 Digital Programs

Attendance and participation may be verified through LMS data, time stamps, module completion, and engagement tracking.

5. Non-Participation & Certificate of Completion Policy

5.1 Certificate Eligibility

Certificates of Completion are awarded only to participants who meet all program requirements, which may include:

Full attendance
Active participation
Completion of required modules or assessments
Compliance with conduct standards

5.2 Non-Participation

Participants who fail to meet requirements will not receive a Certificate of Completion, regardless of payment status.

5.3 No Exceptions or Retroactive Certification

Certificates are earned, not purchased. No retroactive certificates will be issued for incomplete or partial participation.

6. Governing Law and Venue

These policies shall be governed by and construed in accordance with the laws of the State of New York, with venue exclusively in New York State courts.

Appendix A – Contract & Proposal Language (Short Form)

Services provided by Braintific™, LLC are non-refundable, educational in nature, and subject to participation and completion requirements. Certificates of Completion are awarded only upon full attendance and engagement. Intellectual property remains the sole property of Braintific™, LLC.

Appendix B – LMS / Digital Platform Policy (Short Form)

Access to digital programs is granted to registered participants only. Sharing login credentials, recording content, or failing to complete required modules may result in removal from the program without certification or refund.

Appendix C – Policy Acknowledgment Statement

Registration-Ready Language: The Materials constitute original works of authorship fixed in a tangible medium of expression and are eligible for protection under Title 17 of the United States Code. Unauthorized use is strictly prohibited.

Appendix E – Watermark & Document Protection Language

Appendix F – Digital Monitoring & LMS Enforcement Policy

Braintific™, LLC reserves the right to monitor participation, access logs, IP addresses, time stamps, and engagement data across its digital learning platforms.

Any attempt to:

Share login credentials
Record or capture program content
Download or redistribute materials
Circumvent access controls

may result in immediate removal from the platform, revocation of certificates, and legal enforcement without refund.

Appendix G – Corporate vs. Individual Use Clarification

Corporate Clients: Corporate access licenses are limited to the specific organization, cohort, and timeframe defined in the service agreement. Materials may not be reused for internal training, onboarding, or future cohorts without a separate written license.

Individual Participants: Access is granted for personal educational use only. Materials may not be used for professional training, consulting, teaching, or resale.

Appendix H – Cease-and-Desist Template (Short Form)

RE: Unauthorized Use of Proprietary Materials

This letter serves as formal notice that Braintific™ LLC is the exclusive owner of the proprietary materials currently being used, reproduced, or distributed without authorization.

You are hereby directed to immediately cease and desist from any further use, reproduction, distribution, or dissemination of Braintific™ LLC materials. Failure to comply may result in legal action seeking injunctive relief, damages, attorneys’ fees, and all available remedies under New York and U.S. law.

This notice is issued without waiver of any rights or remedies.

Appendix I – LMS / Enrollment Acknowledgment Statement
